1. Acceptance of Terms

By accessing or using LegalOS ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (either an individual or entity) and LegalOS Ltd. ("we," "us," or "our"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

LegalOS provides an AI-powered platform for:

  • Automated contract analysis and risk assessment
  • Board meeting minutes generation from transcripts
  • Company Playbook management for standardizing contract terms
  • Compliance monitoring and alerts

The Service is designed to assist with legal document review and is intended for informational purposes only.

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. Business accounts must be registered by authorized representatives.

4. Subscription and Payment

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Current pricing is available at legalos.ai/pricing. We reserve the right to modify pricing with 30 days' notice.

4.2 Payment Terms

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method automatically
  • Failed payments may result in service suspension

4.3 Free Trials

We may offer free trials at our discretion. At the end of a trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

5. Acceptable Use

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use automated tools to scrape or extract data
  • Resell or redistribute the Service without authorization
  • Use the Service for illegal or fraudulent purposes

6. Your Content and Data

6.1 Ownership

You retain all rights to the documents and content you upload to the Service ("Your Content"). We do not claim ownership of Your Content.

6.2 License to Us

By uploading content, you grant us a limited license to process, analyze, and store Your Content solely to provide the Service to you. This license terminates when you delete Your Content or your account.

6.3 Your Responsibilities

You are solely responsible for:

  • The legality, reliability, and appropriateness of Your Content
  • Ensuring you have the right to upload documents
  • Maintaining backups of Your Content
  • Decisions made based on the Service's output

7. AI Analysis Disclaimer

Critical: The AI analysis provided by LegalOS is for informational purposes only. It is not legal advice and should not be relied upon as such. Always consult with qualified legal counsel before making legal decisions.

You acknowledge and agree that:

  • AI analysis may contain errors or omissions
  • The Service does not create an attorney-client relationship
  • Analysis is based on the information provided and may not be complete
  • Laws vary by jurisdiction and the Service may not cover all applicable laws
  • You are responsible for verifying all analysis with qualified professionals

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its design, features, software, algorithms, and content (excluding Your Content), is owned by LegalOS and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

8.2 Feedback

If you provide feedback or suggestions about the Service, you grant us the right to use such feedback without obligation to you.

9. Confidentiality

We understand that documents you upload may contain confidential information. We commit to:

  • Treating Your Content as confidential
  • Implementing appropriate security measures
  • Not sharing Your Content except as described in our Privacy Policy
  • Allowing you to delete Your Content at any time

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR DAMAGES ARISING FROM RELIANCE ON AI ANALYSIS

11. Indemnification

You agree to indemnify, defend, and hold harmless LegalOS and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content

12. Termination

12.1 By You

You may terminate your account at any time by contacting us or using the account settings. Termination does not entitle you to a refund of prepaid fees.

12.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • You fail to pay applicable fees
  • We are required to do so by law
  • Your conduct poses a risk to the Service or other users

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete Your Content in accordance with our data retention policy. Provisions that by their nature should survive termination will remain in effect.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Qatar. Any disputes shall be resolved through:

  1. Good faith negotiation between the parties
  2. Mediation in Doha, Qatar
  3. Binding arbitration under the rules of the Qatar International Centre for Conciliation and Arbitration

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and LegalOS regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
  • Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control.
